Terms of Service

Summary: By using UpSheet Pro, you agree to these Terms. Please read them carefully.

1. Acceptance

By installing, accessing, or using UpSheet Pro (the “Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

UpSheet Pro is a Google Sheets™ Add-on that helps you attach files to spreadsheet cells. The Service includes upload/attachment features, file management and search, Google Drive™ integration, and optional admin tools for spreadsheet owners.

3. Accounts

To use the Service you must have a valid Google account, be at least 13 years old, provide accurate information where required, and keep your account secure.

4. Purchases and billing

4.1 Free trial

We may offer a trial with limited features as described on our pricing page.

4.2 Paid plan

After any trial, continued use may require a paid licence. UpSheet Pro is sold as a single one-time purchase that does not renew; there is no recurring subscription to cancel. Payment is processed by Stripe.

4.3 Refunds

Purchases are final and we do not offer refunds as a matter of course. The 60-day free trial gives you full access to every Pro feature before you pay anything, so you can confirm the Service works for you first. If something has gone wrong — a duplicate charge, a payment you did not authorise, or a problem we cannot resolve — write to upsheet-pro@theconductor.co and we will look at your case individually. Nothing here limits any refund right you may have under the consumer law that applies to you.

5. Acceptable use

You agree not to use the Service to upload unlawful, harmful, or abusive content; violate laws; infringe intellectual property; distribute malware; attempt unauthorized access; disrupt the Service; or send spam.

6. Files and ownership

Important: Files uploaded via UpSheet Pro are stored in your Google Drive™. You remain responsible for your content and backups.

You are responsible for the files you upload, ensuring you have rights to upload them, and managing your Drive storage.

7. Intellectual property

The Service (excluding your content) is owned by us and protected by applicable IP laws. You may not copy, reverse engineer, remove notices, or misuse our trademarks without permission.

8. Privacy

Your use is also governed by our Privacy Policy.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits/data.

11. Indemnity

You agree to indemnify and hold us harmless from claims arising out of your use of the Service, your violation of these Terms, or your content.

12. Termination

We may suspend or terminate access for violations, fraud, non-payment, or other serious issues. Your files remain in your Drive after termination.

13. Changes

We may update these Terms. We will post updates on this page and update the “Last updated” date, and may notify you of material changes where appropriate.

14. Governing law

These Terms are governed by applicable law (as stated in your local jurisdiction where required).

15. Disputes

Disputes should first be addressed through good-faith negotiation, then mediation where applicable.

16. Severability

If any provision is unenforceable, the remaining provisions remain in effect.

17. Entire agreement

These Terms and the Privacy Policy constitute the entire agreement regarding the Service.
